Following the feedback from businesses, investors and others during the consultation, the government made appropriate changes to the statement. It was laid before Parliament on 2 November 2021 and published on GOV.UK:

We received 18 written responses from:

  • legal firms and societies
  • accountants
  • industry (including financial services, telephony and digital technology)

The breakdown of responder type is shown in the government response.

The draft statement was broadly well-received, with several respondents highlighting improvements on previous versions of the statement.

Consultation description

The National Security and Investment Act requires the Secretary of State to publish a statement explaining how the power to call in acquisitions under the Act is expected to be used.

The statement will help parties to an acquisition to understand whether their acquisition is likely to be called in by the Secretary of State and to plan accordingly.

This consultation seeks views on the draft content of the statement ahead of the final version being laid before Parliament in due course. We expect it to be of interest in particular to:

  • businesses
  • investors
  • the legal community
