This governance handbook outlines how to set up good and robust governance structures in new mutuals. It will be a useful resource for groups considering mutualisation, services currently in the process of spinning out and newly established mutuals. It provides guidance on the role and functions of a mutuals’ governing board and their legal duties, as well as recommended structures of accountability, monitoring and delegation.
The handbook is drafted on the assumption that the mutual is a Community Interest Company, which is a particular kind of registered company. Therefore it should only be used as a starting point and adapted to apply to the specific circumstances of each mutual.
It has been developed by Bates Wells Braithwaite in collaboration with mutuals and the Mutuals Team at the Department for Digital, Culture, Media & Sport.
