The Secretary of State for Business, Energy and Industrial Strategy, Greg Clark, today (19 July 2018) announced his decision to clear the proposed acquisition of Northern Aerospace Limited by Gardner Aerospace Holdings Limited unconditionally on the basis that there are no national security grounds for referring the merger for a Phase 2 investigation. The Secretary of State’s decision also has the effect of causing the Initial Enforcement Order imposed by the Competition and Markets Authority to terminate automatically.

The decision follows the issuing of a public interest intervention notice on national security grounds by the Business Secretary on Sunday 17 June 2018, following representations he received from the Secretary of State for Defence. Having carefully considered the report submitted to the Secretary of State by the Competition and Markets Authority together with the Defence Secretary’s national security advice, and on the basis of that advice, the Secretary of State is content that any deal between the two parties will not compromise national security.
