Directions of the Regulator of Social Housing about notification of restructures, constitutional changes and changes in control

1 Overview

1.1 Private Registered Providers of social housing (PRPs) are required by law to notify the Regulator of Social Housing (the regulator) when they restructure, make changes to their constitution and following certain changes in control. These notification requirements are set out in sections 160 – 165 and 169A – CD of the Housing and Regeneration Act 2008 (the 2008 Act) and in the Charitable Incorporated Organisations (Notification Requirements: Social Housing) Regulations 2023 (the CIO SI).

1.2 In summary, these notification requirements apply in respect of:

  • Voluntary arrangements of LLPs, companies and CIOs (under Part 1 of the Insolvency Act 1986)
  • Arrangements and reconstructions of companies and LLPs (under the Companies Act 2006)
  • Amalgamations involving registered societies and amalgamations of CIOs
  • Registered society transfers of engagements and CIO transfers of undertaking
  • Registered society and company conversions, and conversions into CIOs
  • Registered society dissolutions
  • Changes by companies, registered societies and charities to their governing documents 8 Changes, by any form of PRP, to its name and address, subsidiary status and certain changes to its board membership

1.3 Section 169D of the 2008 Act and Regulation 2 of the CIO SI provide the regulator with the power to direct PRPs about the period and/or content of such notifications; and a power to direct that the requirement for notification is dispensed with.

1.4 The tables below contain those directions including the circumstances in which any requirement for notification under the 2008 Act or CIO SI is dispensed with so that PRPs do not have to notify the regulator.

1.5 In order to fulfill regulatory expectations, PRPs may have to submit information other than that set out in these directions. The regulator has published ‘Guidance For Private Registered Providers on Notifications and Successor Body Registrations’ to assist providers, as well as forms on which to submit information to the regulator. These are available from the regulator’s pages of the .GOV.UK website.

1.6 The regulator can issue directions generally, or specifically in relation to particular PRP(s) or in relation to particular kinds of notification requirement. It can give further directions in different terms to these directions to particular PRP(s). A direction dispensing with a notification requirement may include conditions.

1.7 The regulator will make arrangements for bringing these directions to the attention of every PRP to which it applies.

1.8 This document has effect and replaces any previous direction issued by the regulator under section 169D of the 2008 Act from 1 April 2024.

2. Directions for PRPs that are registered companies

2. A copy of the court’s order under section 901F of the Companies Act 2006 (court sanction for compromise or arrangement).
In relation to a court order to facilitate reconstruction or amalgamation under section 901J of the Companies Act 2006 (section 160(9) of the 2008 Act) 1. The identity of the PRP making the notification, i.e.
a. name
b. registration number in the register of providers of social housing

d. registration number with the Charity Commission, where applicable

2. A copy of the court’s order under section 901J of the Companies Act 2006 (powers of court to facilitate reconstruction or amalgamation).
Timing
Notification must be given by the next working day after the date of the order or the date on which the decision to approve the voluntary arrangement takes effect (as applicable)

Notifications are required of the following:

i. amendments to the articles of association which affect the company’s charitable status ii. amendments to the articles of association which could affect the company’s designation (pursuant to s115 of the 2008 Act).

Dispensation: Notification is not required about changes of articles other than those set out in i and ii above.

c. registration number with the Charity Commission  (immediately prior to any change)

2. Indicate which of the change(s) the notification relates to ie:

3. Provide the new entry now appearing on the register of charities, ie new

b. contact address

4. Where the change is to the charity’s registration number with the Charity Commission, an explanation of why that change was made.

5. A copy of the resolution to restructure as required by the Co-operative and Community Benefit Societies Act 2014 which has been passed by the PRP

6. An indication of when the restructure is expected to take effect.
Notification must be given within 10 working days of the resolution to restructure being passed by the PRP

Dispensation: Where more than one PRP is involved in the restructure (e.g. an amalgamation of 2 or more PRPs), notification is not required from all PRPs if the lead PRP provides the required information in respect of all involved PRPs when making its notification.

Notification must be given within 10 working days of the change taking effect
