Use this form as a statement of a company's capital when reducing capital under section 644 and 649 of the Companies Act 2006.

This form can be used as a statement of capital by a private limited company reducing its capital supported by a solvency statement.
You can also use this form for a private or public limited company reducing its capital supported by a court order. If your form is supported by a court order, you must send all documents to us by post.

How to send your form to us
- Complete your form and any supporting documents.
- Save your completed form and any supporting documents to your device.
- Upload your supporting documents and SH19 form and send them to us online.
You cannot upload your documents if your form is supported by a court order. You must send your documents to Companies House by post.
If you need us to process your reduction of capital documents together, you should:
- upload supporting documents first, one at a time (the resolution, solvency statement and statement by directors, as applicable)
- upload the SH19 form last, after you have uploaded the supporting documents
Standard service
The standard service costs £33. It usually takes 10 to 14 days to process a SH19.
Same day service
You can choose our same day service when you upload an SH19 online.
The same day service costs £136.
We must receive your SH19 and the relevant resolution and solvency statement by 11am. If you upload your documents after 11am, we’ll process them the next working day.
Refunds
If your document is rejected, we’ll refund your fee to the original payment method. This can take up to 7 days.
