This guidance explains how an LLP can be removed from the register of companies, known as ‘striking off’ or ‘dissolving’.

This is covered under law in part 31 of the Companies Act 2006, as applied to LLPs by the Limited Liability Partnerships (Application of Companies Act 2006) Regulations 2009.

This guidance does not cover unusual or complex circumstances, or circumstances when an LLP is dissolved after formal insolvency proceedings. If you’re not sure about your responsibilities after reading this guidance, you may wish to seek professional advice.
