This guidance explains the main features of UK Societates, including information on the administration and management of a UK Societas.

A UK Societas is a European public limited liability company (Societas Europaea) which was converted to a UK Societas from 1 January 2021 (as a result of Brexit).

Societas Europaeas (SEs)

Any SEs still registered in the UK have been automatically converted to a UK Societas. You can:

  • remain as a UK societas
  • be wound up
  • be converted to a PLC

SEs cannot be formed in the UK, or transferred in or out of the UK. UK branches of SEs registered in an EU member state must now comply with the overseas company regulations.
