SDLTM09310 - Transfer of an Undertaking: Section 75C (3)

Part 2 of Schedule 7 FA03 deals with reconstruction relief and acquisition relief where a company acquires the whole or part of the undertaking of another company. Specifically, paragraph 7 covers reconstruction relief and paragraph 8 covers acquisition relief.

If any scheme transactions are entered into for the purposes of, or in connection with, the transfer of the whole or part of an undertaking then the notional transaction is a land transactions that has been entered into for the purposes of paragraphs 7 and 8 of Schedule 7 FA03.
