How to complete form IN01

1. The memorandum of association is missing or not dated
This is a simple document that contains the name of the company, the subscribers and the date.

2. Company name ending is invalid or missing
Within the company name field, you must include the appropriate name ending, such as Limited or Ltd.
When choosing a company type in section A4, you must include the appropriate name ending in section A1.
You cannot have a ‘PLC’ name ending for a company type of private limited by shares, and vice versa.
3. Company name is a duplicate of a name already on the register
Use our company name availability checker before choosing your company name.
We will reject your company name if it’s considered to be the same as a name already on the register.
4. More than one box selected for the articles of association
In section A7 of the IN01 form, you must show whether you’re adopting:
- model articles in their entirety
- model articles with amended provisions
- bespoke articles
Only select one box in this section, or we’ll reject your application.
5. Country of residence and nationality
Use our list of nationalities and countries to complete your form. We’ll only accept entries from this standard list.
6. Statement of capital - totals absent
You must complete the ‘Total’ field in section F1, and also the:
- class of share
- amount on each share
- number of shares
- aggregate nominal value
7. Prescribed particulars in section F4 missing or invalid
Make sure you include the appropriate prescribed particulars for your company.
